Terms of Service

1. Introduction & Acceptance of the Terms

1.1 Purpose of These Terms

These Terms of Service (“Terms”) govern access to and use of the Koyden mobile application and related services (collectively, the “Services”), operated by Koyden.

They define the rights, responsibilities, and obligations of users when using the Services.

1.2 Acceptance of the Terms

By accessing or using the Services, including by creating an account or browsing content, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with these Terms, you must not access or use the Services.

1.3 Relationship to Other Policies

These Terms should be read together with Koyden’s Privacy Policy, which explains how personal data is collected and processed.

If there is any conflict between these Terms and the Privacy Policy regarding personal data, the Privacy Policy prevails for matters related to data protection.

2. Definitions

For the purposes of these Terms of Service, the following definitions apply:

  • “Koyden”, “we”, “us”, or “our” refers to the operator of the Koyden mobile application and related services.
  • “App” refers to the Koyden mobile application, including all features, functionalities, and updates.
  • “Services” refers to the App and any related services, features, or content provided by Koyden.
  • “User”, “you”, or “your” refers to any individual who accesses or uses the Services, whether as a buyer, seller, or visitor.
  • “Buyer” refers to a User whose account is registered with the buyer role. A Buyer may browse stores and products and use other buyer-facing features made available through the Services.
  • “Seller” refers to a User whose account is registered with the seller role. A Seller may create a store, publish products, and manage listings through the Services.

A Seller may also use buyer-facing features (for example, browsing stores or products), and references to “Buyer” or “Seller” describe the user’s role or the context in which they are using the Services.

  • “Account” refers to the user account created to access certain features of the Services.
  • “Content” refers to all information, data, text, images, videos, listings, descriptions, tags, or other materials made available through the Services, whether provided by Users or by Koyden.
  • “User Content” refers to any Content submitted, published, or made available by Users, including store information, product listings, images, descriptions, and messages.
  • “Subscription” refers to any paid or free plan that provides access to specific features or limits within the Services.
  • “Third-Party Services” refers to external services, platforms, or providers that Koyden uses or integrates with to operate the Services, including but not limited to authentication, payment processing, hosting, or infrastructure providers.
  • “Applicable Law” refers to all laws, regulations, and legal requirements applicable to the use of the Services, including consumer protection and data protection laws.

3. Eligibility & Account Registration

3.1 Eligibility

The Services are intended for individuals who are legally capable of entering into a binding agreement under applicable law.

By accessing or using the Services, you confirm that:

  • You are at least 16 years of age, or the minimum legal age required in your jurisdiction to use such services; and
  • You have the legal capacity to accept these Terms.

If you do not meet these requirements, you must not use the Services.

3.2 Account Creation

To access certain features of the Services, users must create an account.

When creating an account, you agree to:

  • Provide accurate, current, and complete information;
  • Keep your account information up to date;
  • Use the Services only in accordance with these Terms and applicable laws.

You are responsible for all activities that occur under your account.

3.3 Account Types and Roles

Koyden offers different types of accounts depending on how the Services are used, including buyer and seller accounts.

Some features are available only to specific account types.

Once an account role is selected during registration, it may not be changeable, unless explicitly permitted by the Services.

A user has a single account role (buyer or seller). Sellers may still access buyer-facing browsing features.

3.4 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for any activity conducted through your account.

You agree to:

  • Notify Koyden promptly of any unauthorized use of your account;
  • Take reasonable steps to protect your account from unauthorized access.

Koyden is not responsible for losses resulting from unauthorized access caused by your failure to safeguard your credentials.

3.5 One Account per User

Unless explicitly authorized by Koyden, each user may create and maintain only one account.

Creating multiple accounts to bypass restrictions, limits, or enforcement actions is prohibited.

3.6 Suspension, Deactivation, and Termination

Koyden may suspend, restrict, or deactivate an account where:

  • These Terms are violated;
  • The account is used in a fraudulent, abusive, or unlawful manner;
  • The account poses a risk to the security, integrity, or proper functioning of the Services;
  • Required by law, regulation, or a lawful request from an authority;
  • Koyden reasonably determines that continued access to the Services is no longer appropriate.

Where reasonably possible, Koyden may provide notice of suspension or termination. However, Koyden is not obligated to provide prior notice in cases involving security, abuse prevention, legal obligations, or urgent risks.

Users may request account deletion in accordance with the Privacy Policy.

Suspension or termination of an account does not affect obligations or liabilities incurred prior to such action.

4. Description of the Services

4.1 Overview

Koyden is a digital platform designed to connect local producers and consumers.

The Services allow users to browse stores and products, discover local offerings, and—where applicable—create and manage a public store profile and product listings.

Koyden provides technical tools to facilitate discovery and visibility but does not act as a seller, reseller, distributor, or intermediary in transactions between users.

4.2 Platform Role and Neutrality

Koyden does not set prices, define commercial conditions, draft product descriptions, or otherwise control seller offerings.

Sellers determine independently the content, pricing, availability, and conditions of their listings.

4.3 Buyer Features

Users registered with the buyer role may:

  • Browse stores and product listings;
  • View publicly available store and product information;
  • Discover stores and products based on location or categories.

Koyden does not guarantee the availability, quality, accuracy, or legality of products offered by sellers.

4.4 Seller Features

Users registered with the seller role may:

  • Create and manage a public store profile;
  • Publish, update, or remove product listings;
  • Manage visibility, availability, and other store-related information;
  • Access features and limits based on their Subscription (if applicable).

Sellers are solely responsible for the content they publish and for ensuring that their activities comply with applicable laws and regulations.

4.5 No Transaction Processing

Koyden does not process, facilitate, or guarantee transactions, payments, deliveries, or refunds between buyers and sellers.

Any ordering, payment, delivery, or agreement occurs directly between users, outside of the Services, unless explicitly stated otherwise.

4.6 No Professional or Commercial Guarantees

Information provided through the Services is made available for general informational purposes only.

Koyden does not:

  • Verify seller identities beyond account registration requirements;
  • Certify products, labels, claims, or descriptions;
  • Provide professional, legal, health, or commercial advice.

Users are responsible for conducting their own due diligence before engaging with other users.

4.7 Service Availability and Evolution

Koyden may modify, update, suspend, or discontinue parts of the Services at any time.

Features, limits, or access conditions may change, including for free or paid Subscriptions.

Koyden does not guarantee uninterrupted or error-free operation of the Services.

5. User Obligations & Acceptable Use

5.1 General User Obligations

By using the Services, users agree to:

  • Use the Services in compliance with these Terms and applicable laws and regulations;
  • Provide accurate information where required and avoid misleading or deceptive behavior;
  • Use the Services in good faith and in a manner that does not harm Koyden, other users, or third parties.

Users are responsible for their conduct and for all content and actions associated with their account.

5.2 Prohibited Activities

Users must not:

  • Use the Services for unlawful, fraudulent, or deceptive purposes;
  • Circumvent, bypass, or attempt to bypass platform limits, safeguards, or enforcement mechanisms;
  • Interfere with the security, integrity, or operation of the Services;
  • Attempt unauthorized access to accounts, systems, or data;
  • Use automated systems (such as bots or scrapers);
  • Misrepresent their identity, role, or affiliation.

Any attempt to access, extract, modify, or misuse backend services, APIs, credentials, or security mechanisms is strictly prohibited, whether successful or not.

5.3 Content Standards

Users must ensure that any content they publish or submit:

  • Is accurate to the best of their knowledge;
  • Does not violate applicable laws or regulations;
  • Does not infringe intellectual property, privacy, or other rights of third parties;
  • Is not misleading, harmful, abusive, or inappropriate.

Koyden does not pre-review content and is not responsible for user-generated content.

5.4 Responsibility for Interactions

Users are solely responsible for:

  • Their interactions with other users;
  • Any agreements, communications, or arrangements made outside the Services;
  • Verifying information before relying on it.

Koyden does not supervise or control interactions between users and does not assume responsibility for disputes between them.

5.5 Enforcement

Koyden may take appropriate action where these obligations are violated, including:

  • Content removal;
  • Account restrictions or suspension;
  • Account termination, in accordance with Section 3.6.

Enforcement actions may be taken with or without prior notice, depending on the nature and urgency of the situation.

5.6 Notice and Action (EU Digital Services Act)

In accordance with the EU Digital Services Act, Koyden provides a mechanism for users or third parties to notify potentially illegal content.

Notices may be submitted via the contact details provided in Section 15.8 and should include:

  • A sufficiently substantiated explanation of why the content is considered illegal;
  • Sufficient information to locate the content (for example: link, listing name, seller profile, screenshots, or other identifiers); and
  • The notifier’s contact details.

Koyden may take action against notices that are manifestly unfounded or abusive, where permitted by law.

Koyden will assess notices in good faith and may remove, restrict, or disable access to content where required by law or these Terms.

Koyden is not subject to a general obligation to monitor user content.

Users may contest moderation decisions by contacting Koyden using the contact details provided below.

5.7 Automated Protection Measures

To protect the security and integrity of the Services, Koyden may automatically apply technical measures such as request limiting, traffic filtering, or temporary access restrictions in response to suspected abuse, excessive usage, or malicious activity.

6. Seller-Specific Obligations

Sellers using Koyden are responsible for ensuring that their use of the Services, and all content they publish, complies with these Terms, applicable laws, and platform rules.

6.1 Accuracy and Legality of Seller Content

Sellers are solely responsible for all information they publish on Koyden, including but not limited to:

  • Store names, descriptions, and public profiles
  • Product listings, descriptions, prices, availability, and tags
  • Images, videos, and other media
  • Labels, claims, certifications, or quality indications

Sellers must ensure that all published content is:

  • Accurate, truthful, and not misleading
  • Lawful under applicable local, national, and EU regulations
  • Free from false, deceptive, or unsubstantiated claims

Koyden does not verify, certify, or guarantee the accuracy, legality, or authenticity of seller-provided content.

6.2 Compliance With Applicable Laws

Sellers are responsible for complying with all laws and regulations applicable to their activities, including but not limited to:

  • Consumer protection laws
  • Food safety, labeling, and traceability requirements (where applicable)
  • Pricing, advertising, and fair-trading regulations
  • Tax, invoicing, and reporting obligations

Koyden does not provide legal, tax, or regulatory advice and is not responsible for a seller’s compliance obligations.

6.3 Products, Transactions, and Buyer Interactions

Koyden acts solely as a platform to facilitate discovery and communication between buyers and sellers.

Sellers acknowledge that:

  • All transactions, agreements, and communications occur directly between buyers and sellers
  • Koyden is not a party to any transaction
  • Koyden does not guarantee sales, delivery, payment, or buyer behavior

Sellers are solely responsible for:

  • Fulfilling orders or commitments they advertise
  • Handling pricing, availability, delivery, and payment arrangements
  • Resolving disputes with buyers

6.4 Public Information and Contact Details

If a seller chooses to publish contact information (such as an email address, phone number, or external links), the seller acknowledges that:

  • This information becomes publicly visible
  • Buyers may contact the seller directly using this information
  • Koyden has no control over communications occurring outside the platform

Sellers are responsible for managing and updating their public contact information.

6.5 Prohibited Seller Conduct

Sellers must not:

  • Publish unlawful, fraudulent, misleading, or deceptive content
  • Misrepresent products, origin, quality, certifications, or pricing
  • Upload content that infringes third-party rights (including intellectual property rights)
  • Attempt to manipulate platform visibility, rankings, impressions, or analytics
  • Circumvent plan limits, usage caps, or enforcement mechanisms

6.6 Moderation and Enforcement

Koyden reserves the right, but not the obligation, to:

  • Review, restrict, hide, or remove seller content
  • Suspend or limit seller accounts
  • Apply plan enforcement, rate limits, or visibility restrictions

These actions may be taken at any time, with or without prior notice, where Koyden reasonably believes that:

  • These Terms have been violated
  • Content may be unlawful or harmful
  • Action is required to protect users, the platform, or Koyden’s legal interests

Any moderation, review, or removal of content by Koyden is conducted on a voluntary basis and does not constitute an endorsement, certification, or assumption of liability for such content.

6.7 No Guarantee of Visibility or Performance

Koyden does not guarantee:

  • Store or product visibility
  • Ranking, impressions, or exposure
  • Sales volume or buyer engagement

Visibility and access to features may vary based on plan limits, system behavior, moderation decisions, or technical constraints.

6.8 Seller Indemnification

To the fullest extent permitted by law, sellers agree to indemnify and hold harmless Koyden from any claims, damages, losses, liabilities, or expenses arising from:

  • Seller content or listings
  • Seller transactions or buyer disputes
  • Violation of applicable laws or regulations
  • Breach of these Terms

7. Buyer Obligations & Platform Use

Buyers using Koyden must use the Services in a lawful, respectful, and responsible manner, and in accordance with these Terms.

7.1 Use of the Services

Buyers may use Koyden to:

  • Browse stores and product listings
  • Discover local sellers and offerings
  • View publicly available store and product information
  • Contact sellers using information made publicly available by sellers

Buyers acknowledge that Koyden provides a discovery and listing platform only and does not act as a seller, broker, or agent.

7.2 Buyer Responsibility

Buyers are responsible for:

  • Verifying product details, pricing, availability, and seller information
  • Communicating directly with sellers for questions, clarification, or arrangements
  • Exercising reasonable judgment before engaging with sellers

Koyden does not guarantee the quality, safety, legality, or accuracy of products or seller-provided information.

7.3 Transactions Between Buyers and Sellers

All transactions, agreements, and interactions occur directly between buyers and sellers.

Buyers acknowledge that:

  • Koyden is not a party to any transaction
  • Koyden does not process payments between buyers and sellers (unless explicitly stated otherwise)
  • Koyden is not responsible for delivery, payment disputes, refunds, or warranties

Any disputes related to transactions must be resolved directly between the buyer and the seller.

7.4 Prohibited Buyer Conduct

Buyers must not:

  • Use the Services for unlawful, fraudulent, or abusive purposes
  • Harass, threaten, or impersonate sellers or other users
  • Submit false, malicious, or abusive reports
  • Attempt to scrape, copy, or misuse platform data
  • Circumvent access controls, technical safeguards, or usage limits
  • Attempt to interfere with platform security, infrastructure, or functionality

7.5 Reports and Feedback

Buyers may submit reports or feedback regarding stores or products.

By submitting a report, buyers acknowledge that:

  • Reports must be truthful and submitted in good faith
  • Abuse of reporting mechanisms may result in restrictions or account action
  • Koyden is not required to act on every report

Koyden may review reports for moderation or safety purposes but does not guarantee specific outcomes.

7.6 Account Suspension or Restriction

Koyden may suspend, restrict, or terminate buyer access to the Services where:

  • These Terms are violated
  • Buyer conduct is abusive, fraudulent, or unlawful
  • Required by legal or regulatory obligations
  • Necessary to protect users, the platform, or Koyden’s legitimate interests

Such actions may be taken with or without prior notice, where permitted by law.

7.7 No Guarantee of Availability

Koyden does not guarantee:

  • Continuous availability of stores or products
  • Accuracy or completeness of listings
  • That sellers will respond to inquiries or fulfill requests

Availability may change at any time based on seller actions, moderation decisions, or technical constraints.

8. Prohibited Uses

Users agree not to access or use the Services in any manner that is unlawful, abusive, or inconsistent with these Terms.

In particular, users must not engage in any of the following activities:

8.1 Unlawful or Harmful Conduct

  • Use the Services for any unlawful purpose or in violation of applicable laws or regulations
  • Use the Services to facilitate fraud, deception, or misrepresentation
  • Engage in activity that harms, exploits, or endangers other users or third parties

8.2 Abuse of the Platform or Services

  • Attempt to interfere with, disrupt, or overload the Services or underlying infrastructure
  • Circumvent, disable, or attempt to bypass security measures, access controls, rate limits, or usage restrictions
  • Attempt to gain unauthorized access to accounts, data, systems, or networks

8.3 Technical Exploitation and Reverse Engineering

  • Reverse engineer, decompile, disassemble, or otherwise attempt to extract source code or underlying logic
  • Probe, scan, or test the vulnerability of the Services without authorization
  • Attempt to manipulate APIs, RPC endpoints, database rules, permissions, or access policies

8.4 Unauthorized Data Access or Use

  • Access, collect, scrape, harvest, or extract data from the Services without permission
  • Use automated systems (such as bots, crawlers, or scrapers)
  • Use data obtained from the Services for purposes outside the intended functionality

8.5 Misuse of Accounts

  • Create accounts using false, misleading, or impersonated information
  • Share accounts or authentication credentials with others
  • Access or attempt to access another user’s account without authorization

8.6 Content and Conduct Violations

  • Publish content that is illegal, misleading, defamatory, abusive, or deceptive
  • Upload content that infringes intellectual property rights or other legal rights
  • Misrepresent products, stores, prices, availability, certifications, or claims

8.7 Circumvention of Business Logic

  • Attempt to bypass subscription limits, feature restrictions, or plan enforcement mechanisms
  • Manipulate impressions, visibility, rankings, or metrics
  • Exploit bugs, vulnerabilities, or unintended behavior for personal gain

8.8 Consequences of Prohibited Use

Koyden may take appropriate action in response to prohibited use, including:

  • Suspension or restriction of access
  • Removal of content
  • Account deactivation or termination
  • Reporting unlawful activity to authorities where required

Such actions may be taken with or without prior notice, where permitted by law.

9. Intellectual Property

9.1 Ownership of the Services

All intellectual property rights in and to the Services, including but not limited to:

  • the mobile application,
  • software, code, architecture, databases,
  • design, layout, logos, branding, and visual elements,
  • text, graphics, and documentation,

are owned by or licensed to Koyden, unless expressly stated otherwise.

These rights are protected by applicable intellectual property laws, including copyright, trademark, and database protection laws.

Nothing in these Terms grants users any ownership rights in the Services.

9.2 Limited License to Use the Services

Subject to compliance with these Terms, Koyden grants users a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended purpose.

Users may not:

  • copy, modify, distribute, sell, or lease any part of the Services;
  • use the Services for commercial purposes outside the scope explicitly permitted;
  • reproduce or exploit any part of the Services without prior written consent.

9.3 User-Generated Content

Users retain ownership of the content they submit, upload, or publish through the Services, including:

  • store information,
  • product descriptions,
  • images, videos, and other media,
  • text, tags, and metadata.

By submitting content to Koyden, users grant Koyden a non-exclusive, worldwide, royalty-free license to:

  • host, store, process, and display such content;
  • distribute and make the content available to other users;
  • use the content solely for operating, promoting, and improving the Services.

This license remains in effect for as long as the content is hosted on the platform and for a reasonable period thereafter as required for technical, legal, or operational purposes.

9.4 Responsibility for Submitted Content

Users represent and warrant that:

  • they own or have the necessary rights to the content they submit;
  • their content does not infringe intellectual property rights, privacy rights, or other legal rights of third parties;
  • their content complies with applicable laws and these Terms.

Koyden does not verify ownership or legality of user-submitted content and is not responsible for infringements caused by users.

9.5 Removal of Infringing Content

Koyden reserves the right to remove or restrict access to content that:

  • allegedly infringes intellectual property rights;
  • violates these Terms or applicable law;
  • exposes Koyden to legal risk.

Removal may occur with or without prior notice, where permitted by law.

Users may report alleged intellectual property infringements by contacting Koyden using the contact details provided in these Terms.

Any moderation, review, or removal of content by Koyden is conducted on a voluntary basis and does not constitute an endorsement, certification, or assumption of liability for such content.

9.6 Trademarks

“Koyden” and associated names, logos, and branding elements are trademarks or trade names owned by Koyden or its licensors.

Users may not use Koyden’s trademarks or branding without prior written permission, except as strictly necessary to refer to the Services in a factual and non-misleading manner.

9.7 No Implied Rights

Except as expressly provided in these Terms, no rights or licenses are granted to users, whether by implication, estoppel, or otherwise.

All rights not expressly granted are reserved by Koyden.

10. Subscriptions & Payments

10.1 Free and Paid Features

Koyden offers both free and paid features.

Some features, limits, or functionalities may be available only under certain plans, offers, or subscriptions, depending on the user’s role (for example, seller plans).

The availability, scope, and conditions of free or paid features may change over time.

10.2 Subscription Plans

Where applicable, sellers may choose to subscribe to a paid plan in order to access additional features, increased limits, or enhanced visibility.

Subscription details may include:

  • plan type or tier,
  • applicable limits or entitlements,
  • pricing and billing frequency.

The specific characteristics of each plan are presented to the user at the time of subscription.

10.3 Billing and Payment Processing

Payments and billing are handled by a third-party payment provider.

Koyden:

  • does not process or store full payment card details;
  • does not have access to sensitive payment credentials;
  • receives only limited billing-related information necessary to manage subscriptions (such as subscription status or billing identifiers).

Payment processing is subject to the terms, conditions, and privacy policies of the payment provider.

10.4 Pricing, Taxes, and Currency

Prices are displayed before subscription and may be shown:

  • inclusive or exclusive of applicable taxes, depending on legal requirements;
  • in a specific currency determined by Koyden.

Users are responsible for any applicable taxes, duties, or fees imposed by local authorities, unless explicitly stated otherwise.

10.5 Subscription Renewal and Cancellation

Subscriptions may renew automatically unless canceled by the user before the renewal date, where applicable.

Users may manage, cancel, or modify their subscription:

  • through the app,
  • or through the payment provider’s subscription management tools, depending on the billing method used.

Cancellation takes effect in accordance with the terms presented at the time of subscription and does not retroactively refund prior billing periods, unless required by law.

10.6 Refunds

Refunds, where applicable, are handled in accordance with:

  • the payment provider’s refund policies,
  • applicable consumer protection laws.

Unless otherwise required by law, subscription fees are generally non-refundable once a billing period has started.

10.7 Changes to Plans and Pricing

Koyden reserves the right to:

  • modify subscription plans, pricing, or included features;
  • introduce new plans or discontinue existing ones.

Where required by law, users will be informed in advance of material changes affecting active subscriptions.

Continued use of a subscription after changes take effect constitutes acceptance of the updated terms, subject to applicable legal requirements.

10.8 Suspension or Termination for Non-Payment

Koyden may suspend, restrict, or terminate access to paid features for reasons including, but not limited to, the following:

  • payment fails or is reversed;
  • billing information becomes invalid;
  • required fees remain unpaid.

Such actions may occur with or without prior notice, where permitted by law.

10.9 No Guarantee of Results

Subscription plans may provide access to additional features or limits but do not guarantee:

  • increased sales,
  • visibility,
  • engagement,
  • or business outcomes.

Use of paid features is at the user’s own discretion and risk.

11. Disclaimers & No Warranties

11.1 Services Provided “As Is” and “As Available”

Koyden provides the Services on an “as is” and “as available” basis.

To the fullest extent permitted by applicable law, Koyden makes no representations or warranties, express or implied, regarding the Services, including but not limited to:

  • availability, continuity, or uninterrupted access;
  • accuracy, reliability, or completeness of any content;
  • suitability of the Services for a particular purpose;
  • absence of errors, defects, or security vulnerabilities.

Koyden does not guarantee that the Services will always be available, timely, secure, or free from technical issues.

11.2 No Warranty on User-Generated Content

All stores, products, descriptions, labels, tags, prices, availability, and other content displayed on Koyden are provided by users, primarily sellers.

Koyden does not warrant or guarantee:

  • the accuracy, truthfulness, or completeness of user-provided content;
  • the authenticity, origin, quality, or compliance of products;
  • compliance of seller content with food, health, safety, labeling, or consumer protection regulations;
  • that products meet any certifications, standards, or legal requirements.

Users acknowledge that they rely on seller-provided information at their own discretion and risk.

11.3 No Warranty on Transactions or Interactions

Koyden acts solely as a platform facilitating discovery and visibility.

Koyden does not:

  • sell products on behalf of sellers;
  • act as a broker, agent, distributor, or guarantor;
  • guarantee that transactions, deliveries, or communications will occur.

Any interaction, agreement, or transaction between buyers and sellers occurs directly between those parties, without Koyden’s involvement or responsibility.

11.4 No Warranty on Availability of Third-Party Services

The Services rely on third-party providers (such as authentication, hosting, storage, mapping, or payment services).

Koyden does not warrant that third-party services will:

  • operate without interruption;
  • remain available indefinitely;
  • be free from errors, outages, or changes.

Koyden is not responsible for disruptions, limitations, or failures caused by third-party services outside its control.

11.5 No Professional or Legal Advice

Information provided through the Services does not constitute legal, financial, regulatory, health, or professional advice.

Users are solely responsible for:

  • verifying legal or regulatory obligations applicable to their activities;
  • ensuring compliance with local laws and professional standards;
  • seeking independent advice where necessary.

11.6 Jurisdictional Limitations

Some jurisdictions do not allow certain disclaimers or limitations of warranties.

In such cases, these disclaimers apply to the maximum extent permitted by applicable law, without affecting mandatory consumer rights.

12. Limitation of Liability

12.1 General Limitation

To the maximum extent permitted by applicable law, Koyden shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • loss of profits, revenue, or business opportunities
  • loss of data or content
  • reputational damage
  • interruption of service
  • loss resulting from reliance on information published by users

This applies whether the claim is based on contract, tort (including negligence), strict liability, or any other legal theory, even if Koyden has been advised of the possibility of such damages.

12.2 User-Generated Content and Third-Party Conduct

Koyden is not responsible or liable for:

  • content published by sellers or users
  • accuracy, legality, or compliance of store or product information
  • interactions, transactions, or disputes between users
  • actions or omissions of third parties, including buyers, sellers, or service providers

Users acknowledge that any reliance on content or interactions through the Services is at their own risk.

Koyden shall not be liable for damages arising from events or conduct occurring without its actual knowledge or reasonable control.

12.3 No Liability for Business or Commercial Losses

Where permitted by law, Koyden shall not be liable for:

  • loss of income or sales
  • loss of customers or visibility
  • loss of expected benefits from subscriptions or plans
  • commercial decisions made by sellers based on platform visibility, limits, or analytics

Koyden does not guarantee any level of exposure, demand, impressions, or commercial success.

12.4 Service Availability and Technical Limitations

Koyden does not guarantee uninterrupted, error-free, or secure operation of the Services.

Koyden shall not be liable for damages resulting from:

  • service outages, downtime, or maintenance
  • technical failures, bugs, or incompatibilities
  • data loss caused by system failures or third-party infrastructure
  • delays or failures in data propagation, caching, or synchronization

12.5 Third-Party Services and Infrastructure

Koyden relies on third-party providers for authentication, payments, hosting, storage, mapping, and infrastructure.

To the extent permitted by law, Koyden shall not be liable for damages resulting from:

  • failures or outages of third-party services
  • acts or omissions of third-party providers
  • changes to third-party services or terms
  • data handling practices of independent third-party controllers

12.6 Maximum Liability Cap

To the extent permitted by applicable law, Koyden’s total liability arising out of or relating to the Services shall not exceed:

  • the total amount paid by the user to Koyden in the twelve (12) months preceding the event giving rise to the claim; or
  • if no fees were paid, EUR 50, whichever is lower.

12.7 Mandatory Consumer Rights

Nothing in this section limits or excludes liability:

  • for intentional misconduct or gross negligence
  • for death or personal injury caused by negligence
  • where such limitation is prohibited by applicable law

In such cases, liability is limited only to the extent permitted by law.

Nothing in these Terms affects mandatory consumer rights under applicable EU or national law.

13. Indemnification

To the maximum extent permitted by applicable law, users agree to indemnify, defend, and hold harmless Koyden, its operator, and any affiliated parties from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • the user’s use of the Services;
  • content, information, or materials submitted, published, or made available by the user;
  • any violation of these Terms, the Privacy Policy, or applicable laws or regulations;
  • any interaction, transaction, or dispute between users;
  • any claim that user-provided content infringes intellectual property rights, consumer protection laws, food safety regulations, or other legal requirements.

In particular, sellers agree to indemnify Koyden for any claims arising from:

  • products offered or described through the Services;
  • compliance (or non-compliance) with food safety, labeling, consumer protection, or other applicable regulations;
  • representations, claims, or guarantees made in store profiles, product descriptions, tags, or media.

Koyden reserves the right, at its own expense, to assume exclusive control of the defense of any matter subject to indemnification. In such case, users agree to cooperate fully with Koyden in asserting any available defenses.

This indemnification obligation survives termination of the user’s account and use of the Services.

14. Governing Law & Jurisdiction

14.1 Governing Law

These Terms are governed by and interpreted in accordance with the laws of Belgium, without regard to its conflict-of-law principles.

14.2 Jurisdiction

Subject to mandatory consumer protection laws, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall fall under the exclusive jurisdiction of the competent courts of Belgium.

14.3 Consumer Rights Exception

If you are a consumer residing in the European Union, nothing in these Terms limits or excludes the protection afforded to you by mandatory consumer protection laws applicable in your country of residence.

Where such laws apply, you may bring proceedings before the courts of your place of residence, where permitted by law.

14.4 Amicable Resolution

Before initiating formal legal proceedings, users are encouraged to contact Koyden to seek an amicable resolution of any dispute where reasonably possible.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies or notices referenced herein, constitute the entire agreement between you and Koyden regarding the use of the Services.

They replace and supersede any prior or contemporaneous agreements, communications, or understandings, whether written or oral, relating to the Services.

15.2 Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction:

  • that provision shall be interpreted or limited to the minimum extent necessary to make it enforceable; or
  • if such interpretation is not possible, it shall be deemed severed from these Terms; and
  • the remaining provisions shall remain valid and enforceable in full force.

15.3 No Waiver

Failure by Koyden to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Any waiver must be explicit and in writing to be effective.

15.4 Assignment

Users may not assign or transfer these Terms, in whole or in part, without prior written consent from Koyden.

Koyden may assign or transfer these Terms, including in connection with a merger, acquisition, restructuring, or sale of assets, in accordance with applicable law.

15.5 Force Majeure

Koyden shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to:

  • natural disasters
  • acts of government or regulatory authorities
  • labor disputes
  • power outages or network failures
  • failures of third-party infrastructure or services

Performance shall be resumed as soon as reasonably practicable after the event ceases.

15.6 Relationship of the Parties

Nothing in these Terms creates any partnership, joint venture, employment, agency, or fiduciary relationship between you and Koyden.

Users act independently and are solely responsible for their actions and obligations.

Section titles and headings are provided for convenience only and do not affect the interpretation of these Terms.

15.10 Changes to These Terms

Koyden may update these Terms from time to time to reflect:

  • the updated version will be made available through the Services or associated channels;
  • the “Effective Date” will be updated accordingly.

Where required by applicable law, users will be notified of material changes in advance.

If a user does not agree to updated Terms, they must stop using the Services and may request account deletion.

Continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms, subject to mandatory consumer protection laws.

16. Languages and interpretation

These Terms of Service may be made available in multiple languages. In the event of any inconsistency between language versions, the versions shall be interpreted consistently. Where required by applicable law, users’ rights under the applicable language version remain unaffected.

For internal consistency purposes, the English version is used as the drafting reference. This does not affect users’ rights under applicable law.
